Job Description Ready Capital is looking to hire a Senior Legal Counsel for Ready Capital Corporation, a $2.5 billion, public commercial Mortgage REIT. This role will report to Ready Capital CFO, with a dotted line to Waterfall Asset Management General Counsel. The Senior Legal Counsel will manage corporate paralegal and oversee heads of legal for Ready Capital operating companies. Specific job responsibilities include: Managing legal framework for Ready Capital Corporation (NYSE: RC), working closely with leadership of Ready Capital, including CEO, CFO, COO, and Head of Credit, as well as Waterfall General Counsel and Contract Finance team; Overseeing processes in respect of filings and disclosure for public/NYSE-listed company; Drafting and negotiating commercial agreements (e.g., Master Services Agreements, Confidentiality and Non-Disclosure Agreements, LOIs, Consulting Agreements, etc.) with counterparties, vendors, and service providers; Providing ongoing counsel on intellectual property, trademarks, data protection and security, labor and employment, and general corporate matters; Providing ongoing counsel on regulatory compliance matters, including with respect to the ’34 Act and ’40 Act; Responding to, and providing advice on, company litigation; Managing M&A transaction and diligence activity in conjunction with outside counsel; Assisting with documentation of company governance matters and legal entity maintenance; Assisting the Firm in the creation and maintenance of policies and procedures; Managing external counsel. Qualifications and Education Requirements: A minimum of 6 years practicing in a law firm, preferably in a corporate practice; Experience counseling public companies; Strong organizational skills and ability to manage multiple time-sensitive matters in a demanding, fast-paced and fluid environment; A business and solution-oriented approach to interacting and working with clients; Excellent oral and written communication and presentation skills.
