Job Description
The Corporate Law Clerk will be a member of BPG’s private real estate funds group and will support the legal team.
Responsibilities:
Manage the corporate database and assist with the bi-annual attestation process
Manage legal document system and maintain organization of all legal documents which will include saving documents in accordance with BPG’s file naming convention
Respond to requests for documents and to specific requests for information contained therein which will include preparing certified copies of D&O registers for KYC purposes
Assist with arranging for execution of documents and co-ordinating signature pages
Preparing redacted operating agreements
Assist with U.S. entity formations and state qualifications, if required; co-ordinate offshore entity formations with outside counsel
Apply for Employee Identification Numbers for domestic and foreign entities
Assist with bank account openings and onboarding entities with the fund administrator
Advise registered agent of any entity formations, name changes, conversions and dissolutions; co-ordinate payment of invoices
Respond to queries from other business groups
Qualifications:
Minimum of 5 years of post-qualification experience
Exceptional attention to detail
Strong organizational skills
Excellent interpersonal, written and verbal skills
Proficiency in Microsoft Excel and PowerPoint
Fast learner with the ability to multi-task effectively while managing a heavy workload in a fast-paced environment
Experience in corporate database and document management system entries and maintenance
Experience with Diligent corporate database (fka Blueprint) and/or iManage document management system a plus
