Law Clerk - CorporatePermanentToronto, OntarioJOB-1588 Law Clerk - Corporate North Toronto Our client, a well established and growing client, is adding a Senior Corporate Commercial Law Clerk to its team. 8+ years of experience is required in order to be considered for this role! This is a permanent full time position. Role and Responsibilities Assisting lawyers with Ontario and Federal filings such as incorporations, registrations, reorganizations, amalgamations, continuances, and dissolutions of corporations Maintaining corporation minute books, including preparation of resolutions, updating of registers and ledgers, preparation of share certificates, as required Identifying deficiencies in corporate records and rectifying them Conducting due diligence searches and analyzing same Working with lawyer to prepare commercial agreements such as asset and share purchase agreements, and closing documents related to same Working with lawyer to prepare loan agreements, promissory notes, general security agreements, asset or share rollover agreements and shareholders’ agreements Experience with tax-motivated transactions is an asset Preferred Skills Proficient in Microsoft365 (Outlook, Word, Teams, PowerPoint) Strong organizational skills, with the ability to work efficiently while managing multiple priorities Effective verbal and written communication skills Strong time management and multi-tasking skills If you are looking to join a friendly collegial team oriented team of professionals apply today!
