The Senior Corporate Counsel will provide comprehensive legal support and counsel to Valneva SE, with a focus on corporate governance, compliance, and strategic initiatives. This role demands expertise in French and US public company law, including capital markets and regulatory compliance. The Senior Corporate Counsel will work closely with the General Counsel and other senior executives, contributing to the company's legal strategies and ensuring adherence to legal standards. Annual Reporting: Manage the preparation of the annual report on Form 20-F, including drafting specific sections and coordinating contributions from other functional teams and external advisors. Public Reporting: Contribute to other public reporting activities, including quarterly reports and analyst presentations. Financing Transactions: Support the General Counsel or serve as legal lead on financing transactions, such as equity offerings and amendments to credit facilities. Strategic Projects: Provide legal support on strategic corporate projects and ESG (Environmental, Social, and Governance) initiatives. Regulatory Compliance: Ensure compliance with regulatory requirements in the biotech/pharma industry in the US and EU. Legal Function Growth: Contribute to the continued growth and success of the Legal function within the organization. Confidential Matters: Handle confidential matters with a high degree of professional ethics and integrity. Additional Responsibilities: Other responsibilities as needed, based on the successful candidate’s experience and the evolving needs of the Legal team. Requirements Qualifications: Qualified as a lawyer in the US or France. Dual qualification is preferred. Experience: At least ten years of post-qualification experience, with at least four years as an associate in a corporate practice at a major international law firm. Industry Experience: Experience with French and US public companies, with dual-listed companies being a plus. Capital Markets: Strongly preferred experience in capital markets, including equity and debt financings. Additional Knowledge: Knowledge of biotech/pharma regulatory environment, ESG, and data protection/privacy is a plus. Qualifications: Qualified as a lawyer in the US or France.
